ARTICLE I - NAME

  • This organization shall be named “Mark A. Bolte Memorial FHWA Club.”
  • After serving with distinction as Chairperson of the Texas Division FHWA Club during 1994, Mark Bolte chose to pursue his career goals as an environmental specialist and transferred from the Texas Division to the Oklahoma Division on January 22, 1995.
  • On April 19, 1995, FHWA and the transportation community lost Mark's physical presence as a result of a terrorist's bomb. We choose to officially and permanently memorialize Mark's contributions to the Texas Division and to the FHWA Club in this manner.

ARTICLE II - AUTHORITY

  • This organization (hereinafter called the Club) is formed with the consent of the Division Administrator.

ARTICLE III - OBJECTIVE

  • The object of the Club is to further the employee relationship by sending expressions of congratulations and sympathy, by purchasing gifts for members who leave the membership, and by conducting a program of employee activities as provided in the Bylaws.

ARTICLE IV - MEMBERSHIP

  • All employees of the Texas Division Office and Motor Carrier Safety assigned to this office are eligible as members of the Club.
  • To include the Professional Development Program participant, an employee or contractor that does not wish to be a member must notify a Club officer.
  • Non-club members are not entitled to any of the benefits under Article III-Gifts, nor do they participate in the coffee room clean up. They may, however, participate in Club social activities by paying their fair share for the activity and purchase Club items on a cash basis.

ARTICLE V - CLUB COMMITTEE

  • Section 1:
    The Club's Executive Committee will consist of five members. One member shall be elected from each of the following sections:
    • Planning and Program Development
    • District A
    • District B
    • Technology and Program Coordination and DA’s Secretary
    • Financial Manager and Motor Carrier Safety
    • The FMSCA State Director, Division Administrator and Assistant Division Administrator may be members of the Club but are excused from service on the Club's Executive Committee.
  • Section 2:
    • Members of the Executive Committee will elect a Chairperson, a Vice Chairperson, Secretary, Treasurer, and Procurement Officer.
    • The Vice Chairperson will serve if the chairperson vacates the office due to transfer, retirement, etc.
  • Section 3:
    • Members of the Executive Committee will be elected by ballot from the respective section and will serve a term of one year.
    • Terms of office will run from January 1 to December 31.
    • Members of the Executive Committee may not serve consecutive terms.
    • The section supervisors should set an example for Club support. Therefore, whenever a supervisor has never served on the Executive Committee, the supervisor is encouraged to volunteer to represent the section in lieu of electing a subordinate.
  • Section 4:
    When necessary, Executive Committee vacancies will be filled by special election from the section from which the vacancy occurred.

ARTICLE VI - MEETINGS

  • Section 1:
    • Annual election meetings will be held in the respective sections approximately 30 days prior to the expiration of the terms of office.
    • The Chairperson is responsible for notifying each section as this date approaches.
  • Section 2:
    • Special meetings of the Executive Committee may be called by the Chairperson, or Vice Chairperson in the absence of the Chairperson, at any time.
    • Such meetings may be called orally or in written form.
    • Three Executive Committee members will constitute a quorum, and motions will be carried with three favorable votes.

ARTICLE VII - AMENDMENTS

  • The Constitution and its Bylaws may be amended or repealed by Club membership majority vote.
  • Suggested amendments will be submitted in writing to the Executive Committee, then circulated and posted on the bulletin board in the mail and file room for 15 days, then submitted to the membership for consideration.
  • When any amendment is made as provided above, each sheet of the amended constitution shall be dated and approved by the current Chairperson of the Executive Committee.
